LA MIGRAZIONE PRUDENZIALE DEL DOVERE DI DILIGENZA CLIMATICA DELL’ENTE CREDITIZIO

The Prudential Migration of the Climate Due Diligence Duty of Credit Institutions

ALESSANDRO GARIGLIO

Abstract.

Abstract. Directive (EU) 2026/470 has repealed Article 22 of Directive (EU) 2024/1760, which required undertakings to adopt a climate transition plan, and has removed the harmonized civil liability regime of Article 29. This paper, however, argues that, as regards credit institutions, the repeal has not extinguished the climate due diligence duty but relocated it: the duty now rests on Article 76(2) of Directive 2013/36/EU, on the EBA Guidelines EBA/GL/2025/01 and, in Italian law, on the supervisory powers conferred on the Bank of Italy by Articles 53-bis and 67-ter of the Consolidated Banking Act following Legislative Decree No. 208/2025, whose effectiveness is evidenced by the periodic penalty payments imposed by the European Central Bank on 13 February 2026. It is submitted that such rules, whose protective purpose is the soundness of the institution and the stability of the system, neither create a claim for the injured third party nor render the harm unlawful in themselves, but determine the content of the professional diligence required under Article 1176(2) of the Italian Civil Code, thus operating as a predicate of fault; and that the unlawfulness of the harm rests on the second paragraph of Article 41 of the Constitution, which sets a limit on the conduct of the undertaking rather than a task for the legislature. In the light of the Italian Court of Cassation, Joint Divisions, No. 20381/2025, which acknowledges the trial court’s power to identify the rules founding the duty to act, the paper then examines the financial value chain, the informational wrong under Legislative Decree No. 30/2026, causation and specific performance as a remedy.
